Celsia Floral - Wedding/Event Florals Design Agreement


The Florist reserves the right to cancel this contract if at any time the Florist feels that the obligations cannot be met. In the event of fire, natural disaster, tragedy, or other emergency, liability is limited to full refund of all monies paid.

Payment Terms: Payments must be made in cash, by Interac or Interac e-transfer, with VISA, MASTERCARD, or AMEX, or by cheque (made payable to "Celsia Floral, Ltd.”). Do note that payment by any credit card is subject to a processing fee of 3%. A deposit of 50% of the grand total is required to reserve your event date and prior to any material purchase. The deposit is non-refundable. The final balance must be paid in full no later than 30 days before the date of the event. Floral design work will not commence until the balance is PAID IN FULL.

Consultations and Quotes: One initial consultation, one event quote, and one final consultation are complimentary. Before a deposit is made, any major revisions, barring minor adjustments or additions, will be charged at $25 per revision. Additional consultations will be charged at a rate of $150 per hour.

Mockups: The Client may request a mockup of any arrangement or bouquet. Mockups will only be provided once the 50% deposit has been paid, and will be charged at 70% of the full price for Bespoke clients, and at full price for A La Carte clients. The Florist agrees to execute the mockup to resemble the desired design for the final product as closely as possible, with the Client’s understanding that mockups provide a sense of the overall design, feel, and colour palette only, and offer no guarantee of the exact blooms or greenery that will appear in the florals on the event date.

Substitutions: The Florist reserves the right to make substitutions in the event the flowers received are not of adequate quality or suitability for the Client's event. In this instance, the integrity of the proposed colour scheme and design will be maintained and flowers of at least equivalent value will be used as Substitution.

Rentals: All rentals and packing materials are to be returned within 7 days of the date of the event. All late returns will be charged at a rate of $1 per rental, per day. All rentals are itemised in the quote. The Client agrees to safely pack and transport all items for return to the Florist. Any lost, broken, or damaged items will be charged at full purchase price to the Client.

Delivery and Setup: The Client is responsible for coordinating and relaying all delivery times, regulations, and other specifics with the venue and the Florist. The Florist agrees to safely transport all paid pieces outlined in the quote to the agreed upon location(s) during the agreed upon timeframe(s). Setup will be completed by the Florist, ensuring safety and compliance with the venue’s regulations. Any delivery or setup requested that is outside the previously agreed upon scope is subject to availability in the Florist’s schedule that day, and will incur additional fees to be charged to the The Client.

Pickup and Care: Should the Client elect to pick up flowers and/or rentals for their event and choose not to have the Florist deliver, the Florist will provide an estimate of and recommendation for the space required to safely transport all items, proper care instructions to maintain freshness as adequately as possible, and any instructions necessary to safely install any large floral decor pieces.

The Florist is not responsible for any damage to or the longevity of live product once any purchased or rented items (i.e., flowers, rentals, and other materials) have left the studio upon pick-up by the Client or by any delivery service other than the Florist’s in-house or contracted team. The Client is solely responsible for and agrees to carry out the prescribed handling and care of all flowers and rentals, to ensure that they are delivered and set up properly, safely, and in the best condition possible. The Client is responsible for any damage that may occur once flowers and rentals have left the Florist’s studio.

Cancellations & Force Majeure: Cancellations must be requested in writing.

Neither party shall be liable in damages or have the right to terminate this agreement for any delay or default in performing if such delay or default is caused by conditions beyond its control including, but not limited to the following force majeure events: (a) acts of God; (b) a natural disaster (fires, explosions, earthquakes, hurricane, flooding, landslide, storms, explosions, infestations), epidemic, or pandemic; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order or law; (e) actions, embargoes or blockades in effect on or after the date of this Agreement; (f) action by any governmental authority; (g) national or regional emergency; (h) strikes, labor stoppages or slowdowns or other industrial disturbances;

In the event The Client cancels the services for any reason, including a force majeure event, all monies paid is non-refundable.

Should cancellation occur for any reason thirty (30) calendar days or more before the event date, The Client will be eligible for 100% credit of all monies paid, to be used at a future date.

Should cancellation occur for any reason within 11 - 14 calendar days of the event date, The Client will be eligible for 75% credit of all monies paid, to be used at a future date.

Should cancellation occur for any reason 7 calendar days or less before the event date will not be eligible for credit of all monies paid.

NO REFUNDS ISSUED, ONLY CREDIT WILL BE ISSUED AS ABOVE.

Should The Client postpone the event, The Florist, or a representative, will use all reasonable effort to work with The Client to produce the event at a later date if necessary, subject to The Florists' availability. Additional fees may be incurred as a result of a rescheduled event.

In the event that The Florist cannot perform the services as outlined in this agreement due to death or serious illness or injury (excluding force majeure events listed above) that renders The Florist unable to operate, The Florist, or a representative, will use all reasonable effort to secure another florist to perform the services on their behalf. Should The Florist fail to secure another florist, 75% of the monies paid will be returned to the client. The Florist is not responsible for events that are cancelled by the Client.

By signing this agreement, the Signee acknowledges and agrees with the terms and conditions above.
